I. General Provisions

Name
Art. 1
Under the name Förderverein Sessellifte Zuoz, an association exists in accordance with Articles 60 et seq. of the Swiss Civil Code (ZGB).

Purpose
Art. 2
“The purpose of the Förderverein Sessellifte Zuoz is to secure the future of the winter sports facilities in Zuoz.

To achieve this goal, the association supports, through appropriate measures, efforts to implement the new feeder chairlift and to replace ski lifts with chairlifts.

The association also ensures that members, interested parties, and second-home owners in the Plaiv municipalities are regularly informed about ongoing projects.”

Seat
Art. 3
The Förderverein Sessellifte Zuoz has its seat in Zuoz.

 

II. Membership

Art. 4
Any natural or legal person who is interested in the purpose of the association and willing to pay the statutory contributions may become a member of the Förderverein Sessellifte Zuoz.

By joining, each member undertakes to support the association’s efforts.

Admission of a member falls within the competence of the Board. The admission decision requires a simple majority.

Withdrawal
Art. 5
Withdrawal from the association occurs through written notice to the President, effective at the end of the fiscal year.

Expulsion
Art. 6
A member who grossly violates the purpose of the association may be expelled. Expulsion is the responsibility of the General Assembly and requires a two-thirds majority of the members present.

Chair
Art. 7
The Chair is conducted by the President. If the President is unavailable, the Vice President chairs. Minutes are kept of the proceedings.

Convening
Art. 8
The General Assembly is convened by the President when he or the Board decides, or when 1/5 of the active members request it. Notice of the General Assembly must be sent to members at least 20 days in advance by mail.

Decisions
Art. 9
Decisions are made by open vote, unless 1/4 of the members present request a secret ballot.

Competence
Art. 10
The General Assembly has the following powers:

a) Approval of the minutes
b) Receipt of the President’s annual report, the annual accounts and balance sheet, and the auditors’ report
c) Discharge of the organs
d) Approval of the budget and the Board’s work program
e) Determination of annual membership fees
f) Election of the President, Board, and auditors
g) Amendments to the statutes
h) Consideration of other matters essential to achieving the association’s purpose

 

b) The Board
Art. 11
The management of the association is the responsibility of the Board. The Board consists of the President and 4–8 additional members, elected by the General Assembly for a term of 3 years and eligible for re-election. The Board handles ongoing business and decides on all matters not reserved for another organ. Its responsibilities include:

a) Admission and expulsion of members
b) Preparation of the budget and accounts
c) Official representation externally

 

c) The Auditors
Art. 12
The General Assembly elects two auditors for a term of 3 years.

 

Financial Matters
Art. 13
The association’s expenses are covered by:

  • Membership fees
  • Donations and sponsorship contributions
  • Extraordinary contributions

Membership fees are set by the General Assembly upon the Board’s proposal. The liabilities of the association are limited to the association’s assets.

Art. 14
The association’s fiscal year begins on January 1 and ends on December 31.
